Terms & Conditions

These Terms & Conditions (“Agreement”) constitute a legally binding agreement between your educational institution (“Subscriber,” “Institution,” or “User”) and Clariadesk (“Company,” “we,” “us,” or “our”), governing the access and use of the Clariadesk cloud platform and associated mobile/web kiosks.
1Acceptance of Terms
By registering for a trial account, logging into the administrative portal, scanning dynamic QR kiosks, or authorizing an annual license payment, you confirm that you are an authorized representative of your institution with the legal authority to bind the school to these Terms.
2Service Provision & Evaluation Trial
Clariadesk is delivered as a cloud-hosted Software-as-a-Service (SaaS) solution:
- 14-Day Evaluation: New institutional tenants receive 14 days of complimentary, full-feature access to evaluate student rosters, biometric/QR attendance, staff payroll, and fee systems.
- Transition to Paid License: Upon the expiration of the 14-day trial period, access to administrative dashboards is automatically locked until an annual subscription plan (Basic, Standard, or Pro) is purchased.
- Uptime & Maintenance: We target 99.9% platform availability. Scheduled maintenance windows will be communicated in advance via administrative broadcast notices.
3Subscription Fees, Invoicing & Refunds
All commercial payments are billed annually and processed securely under the operating authority of Clariadesk:
4Institutional Obligations & Compliance
Subscribing institutions represent and warrant the following:
- Legal Authority for Minor Data: The institution holds requisite parental and guardian consents, school authorizations, and statutory standing under Indian law to upload and manage student attendance, academic marks, and parent contact information.
- Credential Confidentiality: Administrators are solely responsible for managing role assignments (Principal, Teacher, Office Kiosk) and maintaining the security of institutional master passwords and API credentials.
- Acceptable Use: The platform may not be reverse-engineered, scraped, sublicensed, or used to transmit unlawful content.
5Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Clariadesk, its directors, employees, or affiliates be liable for any indirect, consequential, exemplary, incidental, or special damages, including lost revenue, loss of institutional goodwill, or third-party bank gateway downtime.
Our total aggregate liability arising out of or related to this Agreement shall be strictly limited to the total fees actually paid by the institution to Clariadesk during the preceding twelve (12) months.
6Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes or claims arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
